1. Provider and agreement

QA Vault is a test management service with a web application and a hosted Model Context Protocol (MCP) server. These Terms govern the website, accounts, workspaces and use of the service.

Service provider: Alina Lysenko, registered as an individual entrepreneur (sole proprietor) in Ukraine and trading as QA Vault. Contact: team@qa-vault.com.

You must have legal capacity to enter this agreement. If you act for an organisation, you must have authority to bind it and manage the access you grant. The organisation is the customer; people using its workspace are authorised users.

You accept these Terms by creating an account, accepting a workspace invitation or otherwise using the service. If you do not agree, do not use the service.

Our Privacy Policy explains personal-data processing. Our Refund & Cancellation Policy and, where you submit personal data to a workspace, our Data Processing Agreement form part of these Terms. Payment transactions through Paddle are also subject to the Paddle Buyer Terms.

2. Personal accounts and account sharing

Each account is for one individual. You must not share your account, password, authenticated session or personal API keys with another person, or use one named seat for multiple people to avoid subscription charges. Each individual must use their own account and access features under the workspace plan and their assigned permissions.

You may use your own devices, compatible clients and agents acting on your behalf within applicable usage limits. Concurrent use by your own agents does not, by itself, constitute account sharing. A personal seat does not authorise a shared gateway that provides paid access to other people.

Keep credentials confidential and notify us promptly if you suspect unauthorised access. Workspace ownership transfers and legitimate replacement of a team member do not authorise the transfer of a personal account or repeated seat reassignment to circumvent payment.

3. Workspaces, ownership and permissions

A subscription belongs to its workspace. It does not provide paid access in a different workspace. The workspace owner manages the subscription and is responsible for authorising financial changes.

Workspace roles and project permissions govern access to test data. A paid seat does not grant additional project permissions or convert read-only access into write access. You are responsible for inviting appropriate users and reviewing the permissions you grant.

Transferring workspace ownership does not create a new subscription or trial. Changing the payer or billing details is a separate financial action. Contact us if you are the payer and need help managing a subscription after losing workspace access.

4. Free access and paid features

PRO is the paid workspace plan. It includes MCP access and semantic search for all workspace members, including viewers at no additional seat charge. Viewers retain read-only permissions through both the web interface and MCP, and can access only the projects available to them. The free service includes ordinary keyword search and the classical web features identified on our Pricing page.

When trial or paid access ends, MCP and semantic search are unavailable. Ordinary keyword search and the included free web features remain available under the user's existing permissions. Expiry alone does not delete workspace content.

Automatic processing to keep workspace content searchable continues on the free service, including after a trial or subscription ends. The Privacy Policy explains the content involved and the use of external service providers. Access to semantic-search results depends on the workspace having PRO or an active trial; viewers in such workspaces do not require a paid seat.

A QA Vault subscription does not include subscriptions to external AI assistants, IDEs or other client software. You choose those services and are responsible for their use.

5. Trial

The workspace trial lasts one month and does not require a payment card. The trial's start and end dates identify the period of access. Joining a workspace gives a user the remaining trial period; invitations, key rotation and ownership changes do not restart it.

A waitlist request does not create a subscription or start a trial. A cardless trial does not authorise a charge. A paid subscription requires a separate checkout decision that identifies the price, billing interval and first charge.

6. Seats, charges and renewal

PRO subscriptions are billed for each workspace member with write permissions and are available from one paid seat. This includes owners, admins and members, whether or not they use MCP. Viewers do not incur a seat charge. The selected offer identifies the billable quantity, included features, monthly or annual billing interval and applicable limits.

Prices, currency, applicable taxes and the full charge are disclosed before purchase. An annual subscription is charged for the year; any monthly equivalent is a comparison figure. The amount and discount in the selected offer govern the purchase.

A paid subscription renews for its selected interval unless cancelled. Paddle acts as the merchant of record for transactions made through Paddle and handles the payment under its Buyer Terms. You must provide accurate billing information.

Adding paid capacity requires the owner's authorisation of the additional charge. Sending an invitation does not by itself authorise an additional payment. Promoting a viewer to a role with write permissions shows the price change before confirmation and requires an available paid seat or authorisation of the additional charge. Seat changes identify the charge and effective date before confirmation. Removing a member ends that person's access; it does not itself refund a previous charge.

Price changes apply prospectively with the notice and consent required by applicable law and the payment terms. Cancellation, withdrawal and refunds are covered by our Refund & Cancellation Policy.

7. Your content and connected agents

You retain your rights in the content you submit. You grant QA Vault the rights needed to store, organise, index, display and process that content to provide the service and carry out your authorised instructions, including through our service providers.

Only submit content you are entitled to process and share. Use synthetic or appropriately redacted test data where possible. Do not submit credentials, payment-card details or sensitive production data that you are not authorised to disclose.

MCP clients and agents can read or change data within the permissions you grant. Review their configuration and actions. AI-assisted output and semantic matches can be incomplete or incorrect; they do not guarantee test coverage, software quality or a particular business result.

8. Acceptable use and resource limits

You must not use QA Vault unlawfully, infringe others' rights, access data without permission, bypass access controls, distribute malicious code or deliberately disrupt the service.

There is no fixed cap on the number of projects, test cases, suites or test runs in a workspace; the service is offered on a fair-use basis. Usage limits can apply to users, workspaces and operations across all API keys. Creating additional keys does not reset a shared limit. Excessive workloads may be queued or temporarily limited to protect availability. A resource limit does not by itself establish account sharing.

We may investigate reasonably suspected misuse, including deliberate overload of the service, request that you verify activity and restrict or suspend affected access pending review when necessary. Contact us to explain legitimate use or challenge a restriction. Urgent security risks may require immediate action.

9. Suspension, cancellation and data

Access may be suspended for material or repeated breaches, unauthorised use, security risks or an applicable payment restriction. Where appropriate, we provide an explanation and an opportunity to resolve the issue. Any restriction must respect applicable law and mandatory customer rights.

Subscription cancellation and workspace deletion are separate actions. The handling of content, records and deletion requests is described in our Privacy Policy. Keep copies of information you need independently of the service.

10. Support and service commitments

Contact team@qa-vault.com for product, account and access support. We aim to give a first response within 5 business days. A guaranteed response time or availability percentage applies only if expressly included in your agreement.

Maintenance, technical failures and third-party services can affect availability. Nothing in these Terms excludes liability or remedies that cannot lawfully be excluded, including applicable rights where a service is faulty or does not match its description.

11. Disclaimer of warranties

QA Vault is provided as is and as available. To the extent permitted by applicable law, QA Vault gives no warranty, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, or that search results, AI-assisted output or connected agents are accurate or complete.

You are responsible for reviewing test data and results before relying on them, for the configuration and actions of the clients and agents you connect, and for keeping independent copies of information you need. Statutory rights that apply where a digital service is faulty or does not match its description are not affected.

12. Limitation of liability

To the extent permitted by applicable law, QA Vault is not liable for indirect, incidental, special or consequential loss; loss of profit, revenue, business or goodwill; loss or corruption of data of which you have not kept a copy; or loss caused by third-party services, connected clients or agents, or by content that you or your users submit.

To the extent permitted by applicable law, QA Vault's total liability for all claims arising from or relating to the service in any twelve-month period is limited to the amount the customer paid for the service in the twelve months before the event giving rise to the claim, or 100 US dollars if no payment was made.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or wilful misconduct, or for any liability that cannot lawfully be excluded or limited, including mandatory consumer rights.

13. Governing law and venue

These Terms and any dispute arising from them are governed by the law of Ukraine, excluding its conflict-of-law rules. Disputes are resolved by the competent courts of Ukraine.

If you are a consumer resident in a country whose law grants you mandatory protections or the right to bring proceedings in the courts of your own country, those protections and that right are not affected by this section. The purchase transaction itself is made with Paddle as merchant of record and is governed by the Paddle Buyer Terms.

14. Changes and applicable rights

These Terms carry a revision date. Material changes require appropriate notice and, where required, acceptance before they apply. Changes do not retrospectively remove accrued rights.

Mandatory protections under the law applicable to you remain in force. Contact us to raise a complaint; this does not prevent you from exercising a statutory right or using a competent authority or court.
